Steps for forming a company in Egypt include: choosing the legal form, preparing the founding contract and articles of association, obtaining prior approvals (if required), signing the founding contract before a notary, depositing and commercial registration, registration with the General Authority for Investment (if the company is subject to Investment Law), registration with the Tax Authority, and Social Insurance. Investment Law No. 72 of 2017 provides many advantages for foreign investors, including: legal guarantees for investment protection, tax and customs incentives, provision of land for investment projects, simplified administrative procedures, establishment of investor service centers, and the possibility of forming companies with 100% ownership of capital in most sectors, except for some strategic sectors.
A Franchise Agreement is a contract where the Franchisor grants the Franchisee the right to use its trademark, business model, and commercial practices for a fee, with ongoing support. A Commercial Agency Agreement is a contract where the agent undertakes to market and sell the principal's products for a commission, without the right to use the trademark as an integrated business system. Commercial Arbitration in Egypt is governed by Arbitration Law No. 27 of 1994, which is based on the UNCITRAL Model Law on International Commercial Arbitration. Procedures include: Arbitration Agreement (arbitration clause in the contract or separate agreement), selection of the arbitral tribunal, exchange of pleadings and documents, holding arbitration hearings, issuance of the arbitral award, and then appeal before the competent courts. Arbitral awards have res judicata effect and are enforceable.
To register a trademark in Egypt, you must submit an application to the Trademark Office of the Ministry of Supply and Internal Trade, including: application form, clear image of the trademark, list of goods or services, and copy of the commercial registry (if a company). The trademark is subject to formal and substantive examination, and if accepted, it is published in the Official Gazette, with a 60-day opposition period. Trademark protection lasts for 10 years, renewable.
A foreign investor can form a company in Egypt either in accordance with Investment Law No. 72 of 2017 or Companies Law No. 159 of 1981. In both cases, a foreigner can own 100% of the company's capital in most sectors. Steps include: choosing the activity and legal form, preparing contracts, obtaining approvals, incorporation, commercial registry registration, General Authority for Investment registration (if applicable), and Tax Authority registration. Controls include: resolution by the Extraordinary General Assembly or court order for liquidation, appointment of a liquidator(s) to manage the liquidation process, notifying creditors and publishing the liquidation, inventorying the company's assets and liabilities, paying debts and obligations, distributing remaining assets to partners, then deregistering the company from the commercial registry. Transfer of shares in Joint Stock Companies is done through: buying and selling on the stock exchange (for listed companies) or through direct agreement between buyer and seller (for unlisted companies), with registration of the change in the shareholders register.
